About EDIT (Edenmore Drugs Intervention Team)
EDIT is a community drug and alcohol project that provides support for young people, adults. Edenmore Drug Intervention Team (EDIT) supports people at risk of, or affected by, problem substance use. EDIT was established in Edenmore in 1997 and continues to deliver a range of services to the local community along with people from across north east Dublin.
What's Involved
The roles of the Company Secretary include:
Administrative duties:
• Attendance and engagement at meetings, due notice for inattendance (Meetings take place approximately every 6 weeks, usually on Thursday evenings for approximately 2 – 2.5 hours).
• Participation in training, if available.
• Willingness to become familiar with the Governance Code and to develop an understanding of how the community and voluntary sector work.
• Maintaining director personal details: name, address, etc.
• Maintaining the company’s registers: members, directors, interests, register of beneficial ownership.
• Sending documents to the CRO and publishing legal notices in media.
• Organising the logistics of board meetings and arranging AGM/EGM.
• Preparing meeting minutes and holding company seal.
• Providing directors with legal and administrative support e.g. charities.
Legal duties:
• Complete and file the company’s annual return to the CRO .
• Certify that the financial statements attached to the annual return are true copies of the originals.
• Prepare an accurate statement of the company’s assets and liabilities if the company goes into liquidation or receivership.
• Disclose personal information: name, address, etc.
What's required for this position
Expressions of interest are now being sought from persons available to serve on the board as director and who:
• Have professional qualifications and experience in corporate governance / company administration.
• Would like to play their part in the planning, development and overseeing the implementation of a new Strategic Plan.
